Dr Flegg says he went to see Gerard at his new office in Taringa. Gerard told him he had a "situation in his business".

Gerard told Dr Flegg his business partners had left and he needed to raise $400,000. #badenclay#badenclay

Dr Flegg says he asked Gerard who the partners were and he "declined to answer". #badenclay

Dr Flegg says he asked Gerard whether he was looking for an equity partner, but he was adamant he didn't want that. #badenclay

Dr Flegg: He was looking to borrow money. He wanted to keep his equity at whatever level it was at the time. #badenclay

Dr Flegg says in Feb, 2012, there was a chamber of commerce meeting where he saw Gerard. #badenclay

10:28am: Dr Flegg said Mr Baden-Clay approached him in December 2011 to ask for a $400,000 loan.

The pair met at Mr Baden-Clay's real estate office in Taringa.

"Gerard indicated to me that he had a situation in his business, that the situation involved the money that he owed to business partners," Dr Flegg said.

Dr Flegg recalled Mr Baden-Clay saying "that he wanted to keep ownership and control of the business and the rent roll and he needed to raise $400,000".

"It was in the nature of a favour," Dr Flegg said.

"I did say to him, was he looking for an equity partner ... but he was quite adamant he was not looking for someone to put equity in. My clear understanding was he wanted to keep his equity at what it was at the time. He didn't want another partner coming in."
