It's just a reminder for everyone here. If a family member is reported by MSM as having a connection to the crime we can post information. If you can't link it don't discuss it. I've thought for quite some time, (while sporadically perusing the documents you all are great at finding!) that much of the shell game was originally about estate/tax planning/avoidance.

As an estate planning and tax attorney, I'd say much of what she did seems to be standard but way greedy and super lazy (ie if you are going to do a FLP, do it right--she could not have done them more wrong). Anything that has "Family Limited Partnership" in it is typically a tax/estate planning device.

Based on Max Singer Trust, Marlene Maas Trust, Max Memory etc etc, my guess (and could be wayyy off) is that Max and Marlene were her parents or other rich relatives who passed on money to Andra (and her sibs?) and she took that money and buried it under layers upon layers of tax avoidance/minimization entities that also helped her hide it from creditors....such as BronxBrawler.

Also, I'd hazard that 9M "buyout" of her shares was some sort of tax shelter/scam to get money out of the company and/or that amount of money never changed hands exactly.

The fake move to Nevada is just the most obvious one--and the fact she couldn't be bothered to go through the formalities of actually moving residence says a lot about her and/or her attorney, as well, imoo.

She never worried about complaints and cheating people, IMO, because she had all the money available for her benefit but absolutely none of it could be tied to her by her creditors. The kind of person who gives estate and tax planning a bad name! :)

Of course, this is all my opinion with only a small fraction of information available--so basically just a hunch and a guess (typical lawyer disclaimer ;). And I don't suppose it really has any bearing or meaning, but thought I'd just throw out for general edification...

Just FYI: Myles Sachs is not Bradford's brother... It's one of his sons who is away at college out of state. I went to school with him in laguna. Just wanted to clear that up. They must have been using his name for whatever, but again, it's his son and not his brother.

Page 49, page 54 and thereabouts has some interesting info regarding both Sachs.

They are mentioned elsewhere as well, of course.

It was interesting to see who was on the Board of Directors. I didn't 'get' that Andra was fired but rather that it was all highly orchestrated to assure the most money for everyone and timed to coincide with taking the company public.

TRANSACTIONS WITH BRAD AND ANDRA SACHS

At various times from our inception through March 1999, Brad and Andra Sachs, both individually and through certain other companies owned or controlled by one or both of them, loaned us an aggregate of $578,000. As of March 31, 2000, we owed an aggregate of approximately $403,000 on such loans.

On June 1, 1999, we entered into a Lease Agreement with a limited partnership of which Brad Sachs and Andra Sachs are limited partners, for the lease of our facility at 5312 Bolsa Avenue in Huntington Beach, California. This lease provides for payment of rent of $35,000 per month and has a term extending through May 2004.

In September 1999, Communications Ventures III L.P., Communications Ventures III CEO and Entrepreneurs Fund L.P., Mayfield IX and Mayfield Associates Fund IV entered into an agreement with Andra Sachs, pursuant to which they agreed to purchase up to $10,000,000 of Flashcom's common stock at a purchase price equal to 85% of the price per share in Flashcom's Series B financing. In connection with such transaction, we waived our right of first refusal on such shares. In February 2000, we agreed to assume $9,000,000 of the purchase obligations under such agreement and entered into a Stock Purchase Agreement with Andra Sachs, pursuant to which we repurchased 1,612,903 shares of common stock held by Ms. Sachs for a purchase price of $9,000,000.

Between February 1999 and February 2000, we purchased certain uninterrupted power supply equipment from Power Design, Inc., a company that is wholly-owned by Brad and Andra Sachs, for $76,617.

In May 2000, we entered into a Loan Agreement, a Secured Promissory Note and a Pledge Agreement with Brad Sachs whereby we loaned Mr. Sachs $3,000,000. The loan is secured by a pledge of all shares of our common stock owned by Mr. Sachs and must be repaid at any time following the later of 30 days after the date of the loan and the occurrence of certain specified liquidity events as set forth in the agreement.

Brad and Andra Sachs each own more than 5% of our common stock, and each has served as one of our directors and as one of our executive officers.

I was contacted by OC sherrif's office two nights ago because my name came up during their investigation. The fact that the sherrif's office has delved down to such a small fish as myself tells me they are leaving no stones unturned. Unfortunately, My wife and I could not provide anything useful other than the circumstances that led us to suing Andra. I got the inclination from the investigator's questions that they don't have a suspect(s) as of yet, but are checking everyone who had bad dealings with the Sachs and the count as of Wednesday was well over 50 clients that were disgruntled with the pair. Certain aspects of the homicide are being withheld from the public, and my only assumption is to validate any tip they receive that may have one of those omitted pieces.

ISeeSocioPath, I'm unable to nail down the family relationship between Lisa F and the Sachses. She never told me and I didn't push inquiring who she was because she was trying to help. I do know she is legitimate because every piece of information she offered my wife and I, was 100% accurate and it was greatly appreciated in our quest to pin down the moving targets named Andra and Brad. Sorry I could not further elaborate.

p.s., I know that the perpetrator(s) getting by the attack dogs has been a source of perplexing intrigue. An extremely reliable source, which I can't divulge insinuated that ALL the dogs were neutralized (read between the lines) as the perpetrator(s) maneuvered toward the objectives. If the security system was on, I cannot speak honestly on how that aspect was breached. The mystery thickens and "a family member did it" angle has just become less suspect from this vantage point. Have a great weekend everyone.

Still....I cannot reconcile any "hit" requiring over 21 shots. Overkill is most often personal. I cant see a disgruntled business acquaintance wanting to plan a hit including (but not limited to) a steel gate,numerous cameras, 2 guard teeth baring Doberman Pinchers, alarms,2 to 3 sleeping children(witnesses) and THEN finding the targets (Brad and Andra) in separate areas of this sprawling mansion? I live a street away and because of this community being set upon a large expansive hillside...and against a horse trail...i can hear coyotes communicating with one another, screeching brakes at a stop sign,a few pet birds "talking", horses snorting, etc...CLEARLY.Especially at night. Echoing in this 'hood' is loud. No one heard ANY of the above "hit"?

You have a solid point with the matter of the overkill and the tiers of security measures that needed to be overcome by the perpetrator(s). With the latter in mind it would be perplexing to me that the alleged family member would not have eliminated all witnesses in the house that could or would identify him/her? However, I've never been in a 9k square foot home especially theirs to intelligently ration how difficult it would be to find two other people that are hiding. Thank you very much for the explanation of the ambiance because you most definitely have the best view of the landscape. Have a Blessed weekend.
